By accessing our website, requesting our Services, engaging with our team, or entering into any engagement with The Meta Future, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply to all individuals and entities accessing our Services, whether you are a potential client reviewing our offerings, an active client receiving Services, or a third party interacting with our digital properties. Your continued use of our Services constitutes acceptance of these Terms as they may be modified from time to time.

All Services are provided on an as-requested basis following mutual agreement between you and The Meta Future. Service scope, deliverables, timelines, and associated fees are specified in individual project agreements, proposals, or statements of work, which constitute supplementary agreements to these Terms.

3. Client Responsibilities and Cooperation

Successful delivery of Services requires your active participation, timely decision-making, and provision of necessary information and resources. Your responsibilities include:

You agree to provide accurate, complete, and timely information necessary for Service delivery, including business background, target audience demographics, competitive positioning objectives, brand guidelines, product/service details, and any other information we reasonably request. You further agree to grant us necessary access to your systems, platforms, accounts, and facilities required for Service execution.

3.2 Content and Materials

You represent that all content, images, copy, logos, and materials you provide are either owned by you or you possess appropriate rights to authorize their use in our Services. You assume full responsibility for any third-party claims regarding intellectual property infringement related to materials you provide.

3.3 Decision-Making Timeline

You acknowledge that timely decisions regarding design direction, copy approval, strategy adjustments, and implementation choices are necessary for maintaining project schedules. Delays in your decision-making may extend project timelines, and associated adjustments to fees or deliverables will be addressed through written amendment.

3.4 Compliance with Laws

You represent that your business, products, and services comply with all applicable laws, regulations, and industry standards. You assume responsibility for ensuring that our Services are used in compliance with all legal requirements in your jurisdiction and industries.

4. Fees, Payment Terms, and Billing

4.1 Fee Structure

Service fees are determined based on project scope, complexity, timeline, resource requirements, and market rates. Fees are specified in project proposals or statements of work provided prior to Service commencement. Fee structures may include:

Payments not received by the specified due date will incur interest charges of 1.5% monthly (or the maximum rate permitted by applicable law) on the outstanding balance. Additionally, late payment may result in suspension of Services until accounts are current.

4.4 Expense Reimbursement Certain

Services may require third-party expenses including software subscriptions, hosting fees, premium tools, paid research services, or external contractor support. These expenses are reimbursable at cost plus 10% administrative fee unless otherwise specified in your service agreement. You will receive detailed expense documentation with your invoices.

4.5 Scope Changes and Additional Work

Changes to project scope, expansion of Services, or additional deliverables not included in the original proposal are considered change requests. Change requests require written authorization specifying associated fee adjustments and timeline implications before work commences.

5. Intellectual Property Rights

5.1 Our Work Product

Upon receipt of full payment for Services, you receive ownership of completed work product specifically created for your business, including website designs, custom code, written content, marketing strategies, and other deliverables explicitly identified as work product in your service agreement.

5.2 Pre-Existing Materials and Tools

The Meta Future retains ownership of all pre-existing materials, tools, templates, processes, methodologies, intellectual property, and knowledge developed prior to our engagement or developed independently using our own resources. This includes design templates, code libraries, frameworks, processes, analysis tools, business strategies, and other materials we’ve developed.

5.3 Third-Party Components

Services may incorporate third-party software, licensed materials, open-source code, or commercial tools. Your use is subject to applicable third-party licenses. The Meta Future grants you a license to use incorporated third-party components solely as necessary for your intended business use, but you assume responsibility for third-party license compliance.

5.4 Our Portfolio

Usage You acknowledge that The Meta Future may use your completed project as portfolio examples, case studies, and reference materials in our marketing, business development efforts, and agency samples, unless explicitly restricted in your service agreement.

5.5 Trademarks and Branding

If our Services include developing brand names, logos, trademarks, or distinctive branding elements, you will own the trademark rights to elements you register, subject to our ownership of underlying design work and methodology.

6. Confidentiality

6.1 Confidential Information

Both parties acknowledge that business information, strategies, financial data, customer information, competitive positioning, and other proprietary details shared during our engagement constitute confidential information. Both parties agree to maintain strict confidentiality regarding information the other party designates as confidential or that reasonably should be understood as confidential.

Confidentiality obligations do not prohibit:

Confidentiality obligations survive engagement termination and continue for five (5) years following Service completion, except for information that becomes publicly available through no breach of our confidentiality obligations.

7. Limitations of Liability and Disclaimers

7.1 Service Delivery Limitations

The Meta Future provides Services in a professional and workmanlike manner based on industry best practices, our professional judgment, and information you provide. However, we cannot guarantee specific business results, revenue increases, ranking improvements, conversion rate increases, or other business outcomes. Marketing, design, development, and business optimization results depend on numerous factors beyond our control, including market conditions, competitive dynamics, customer behavior, your business execution, and external forces.

7.2 No Warranty

Services are provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for particular purpose, or non-infringement. We do not warrant that Services will be uninterrupted, error-free, or meet all your requirements.

7.3 Limitation of Liability

Except for breaches of confidentiality or intellectual property violations, neither party shall be liable to the other for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunity, regardless of whether such damages were foreseeable or we were advised of their possibility. Our total liability under these Terms shall not exceed the total fees you paid during the twelve (12) months preceding the claim.

7.4 Third-Party Platforms and Services

Our Services may involve third-party platforms, tools, social media channels, advertising networks, or other external services. We are not responsible for outages, changes, policy modifications, or issues arising from third-party platforms. Your use of third-party services is subject to their terms and policies.

8. Term and Termination

8.1 Service Term

Service engagements continue for the period specified in your service agreement (project completion date for project-based work, or ongoing for retainer arrangements). Monthly retainer engagements automatically renew for successive one-month terms unless either party provides written termination notice at least fifteen (15) days prior to the end of the current term.

8.2 Termination for Convenience

Either party may terminate ongoing service agreements with thirty (30) days written notice. Upon termination, you remain responsible for all fees through the termination date plus any expenses incurred prior to termination notice.

8.3 Termination for Breach

If either party materially breaches these Terms or their service agreement and fails to cure the breach within fifteen (15) days of written notice, the non-breaching party may terminate immediately upon written notice.

For clients in jurisdictions with privacy regulations including GDPR (European Union), CCPA (California), or equivalent legislation, we comply with applicable requirements regarding personal data processing, storage, security, and individual rights.

We implement industry-standard security measures to protect client data including encryption, access controls, regular backups, and security monitoring. However, no security measures are absolutely impervious to breach. You understand that transmitting information online carries inherent risks.

12. Changes to Terms and Services

12.1 Terms Modifications

 The Meta Future reserves the right to modify these Terms at any time. Modifications become effective upon posting to our website, and your continued use of our Services constitutes acceptance of modified Terms. We encourage you to review these Terms periodically.

12.2 Service Modifications

We may modify, suspend, or discontinue Services or features with thirty (30) days written notice. For ongoing retainer clients, material modifications to service delivery will be addressed through discussion about fee adjustment or service continuation.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Dubai/United Arab Emirates], without regard to conflicts of law principles.

13.2 Arbitration

14.1 Entire Agreement

These Terms, together with your service agreement and any supplementary documentation, constitute the entire agreement between you and The Meta Future regarding our Services and supersede all prior negotiations, understandings, or agreements.

14.2 Severability

 If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed, and the remaining provisions shall continue in full force.

14.3 Waiver

Failure to enforce any provision does not constitute waiver of that or any other provision. Waiver of any provision requires written consent from both parties.

14.4 Assignment

You may not assign these Terms or your rights or obligations without our written consent. The Meta Future may assign these Terms to successor entities or affiliates.

14.5 Independent Contractors

Our relationship with you is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

All notices shall be in writing and delivered via email to the address specified in your service agreement or website contact information, or by hand delivery to office addresses provided by either party.
